Audio Processing and Transcription

Your Early Adopter license includes generous monthly allocations for audio processing and transcription. For local processing (using your device's hardware), there are no monthly limits—you can transcribe as much audio as your hardware can handle. For cloud-based processing (which provides faster results and supports devices with limited computational resources), you receive 100 hours of audio processing per month. This allocation resets on the first day of each calendar month. If you exceed this limit, you can continue using local processing without restriction, or you may purchase additional cloud processing credits at a discounted Early Adopter rate.

AI-Powered Analysis and Insights

Remindr's AI features, including automatic summarization, action item extraction, and semantic search, utilize significant computational resources. Your Early Adopter license includes 500 AI analysis operations per month. Each memory processing session (including summary generation and action item extraction) counts as one operation. Semantic searches count as one operation per search. This allocation is designed to accommodate intensive daily use. If your usage consistently exceeds these limits, please contact us—we are happy to discuss custom solutions for power users.

Cloud Storage and Sync

If you choose to use our optional end-to-end encrypted cloud sync feature, your Early Adopter license includes 50 GB of cloud storage. This storage is for synchronized memories and associated data. Local storage on your device has no limits—you can store as many memories locally as your hardware permits. Additional cloud storage can be purchased if needed at preferential Early Adopter rates.

Fair Use Policy

All usage allocations are subject to our Fair Use Policy. This policy exists to prevent abuse that could degrade the experience for other users. Fair use means using Remindr for its intended purpose—personal productivity and memory augmentation. Examples of unfair use include: running automated scripts to consume processing resources, sharing account credentials with multiple users, using the service for commercial transcription services, or any other use that places extraordinary burden on our infrastructure. Violations of the Fair Use Policy may result in temporary throttling or, in extreme cases, license suspension after warning and opportunity to remedy.

Allocation Increases Over Time

We anticipate that as our infrastructure scales and becomes more efficient, we will be able to increase these allocations over time. Early Adopters will always receive the most generous allocations available, and any increases will be applied automatically to your account. We are committed to continuously improving the value proposition for our founding supporters.

Early Adopter Pricing

The Early Adopter license is priced at $349 USD. This is a one-time payment that provides lifetime access to Remindr as described in these Terms. There are no recurring fees, hidden charges, or future payments required to maintain your license. This represents a significant discount from the anticipated post-launch pricing of $997 USD for a lifetime license, representing savings of $648 or approximately 65%.

Payment Processing

All payments are processed securely through Stripe, a PCI-compliant payment processor. We do not store your credit card information on our servers. Stripe may offer various payment methods depending on your location, including credit cards, debit cards, and certain local payment methods. The transaction will appear on your statement as 'Remindr' or 'Remindr Early Adopter'.

Currency and Taxes

All prices are quoted in United States Dollars (USD). If you are paying from outside the United States, your payment provider will convert the amount to your local currency at their prevailing exchange rate. Depending on your jurisdiction, your purchase may be subject to Value Added Tax (VAT), Goods and Services Tax (GST), sales tax, or other applicable taxes. Any such taxes are your responsibility and may be collected at the time of purchase where we are legally required to do so.

Receipt and Invoice

Upon successful payment, you will receive an email confirmation containing your purchase receipt and license key. This email serves as your proof of purchase and should be retained for your records. If you require a formal invoice for business or tax purposes, please contact our support team with your purchase details and we will provide one within 5 business days.

Slot Reservation During Checkout

Due to the limited availability of Early Adopter licenses (500 total), your slot is temporarily reserved when you initiate the checkout process. This reservation is valid for 30 minutes. If payment is not completed within this timeframe, the slot will be released and made available to other prospective Early Adopters. This mechanism ensures fair access while preventing indefinite slot holding.

Remindr is scheduled for official launch on February 4, 2026. This date represents our target based on current development progress and has been set with reasonable buffer time to account for potential delays. While we are making every effort to meet this date, software development timelines can be affected by unforeseen circumstances. We will communicate promptly if there are any changes to the expected launch date.

Upon successful purchase of your Early Adopter license, you will immediately receive an email containing your unique license key. This license key is your permanent credential for accessing Remindr. Keep it secure and do not share it with others, as the license is non-transferable and tied to your email address.

Prior to the official launch, Early Adopters may be invited to participate in private beta testing. Participation in the beta is optional but encouraged. Beta versions may contain bugs, incomplete features, or stability issues, and are provided for testing purposes only. Your feedback during the beta period is invaluable and will help us polish the product for launch.

On the launch date, you will receive an email with instructions for downloading and installing Remindr. The application will be available for download directly from our website. You will enter your license key during the initial setup to activate your Early Adopter benefits.

If for any reason the launch is delayed beyond 6 months from the originally scheduled date (i.e., beyond August 4, 2026), you will be entitled to request a full refund of your purchase price at any time until the product launches. This protection ensures that your commitment is not held indefinitely without delivery.

Definition of Lifetime

Your 'lifetime license' means you retain the right to use Remindr for as long as the product is actively developed and maintained, plus the protections outlined in our Project Continuity Guarantee. In practical terms, we intend for Remindr to exist and evolve for many years to come. Your license does not expire after any set period—it remains valid indefinitely. If at some point in the distant future the software becomes incompatible with future operating systems (for example, due to radical changes in computing paradigms), the source code release provisions of the Project Continuity Guarantee would apply.

Device Limitations

Your Early Adopter license covers installation and use on one (1) Mac device at a time. This includes any Mac computer running a compatible version of macOS (currently macOS 12.3 or later). You may transfer your license to a different Mac device, for example when upgrading to a new computer, but the software should be uninstalled from the previous device. License verification occurs periodically, and using the same license on multiple devices simultaneously may result in temporary lockout until the violation is resolved.

Personal Use

The Early Adopter license is for personal, non-commercial use. You may use Remindr to capture, transcribe, and analyze your own meetings and conversations. You may not use Remindr to provide commercial transcription or analysis services to others. If you are interested in commercial or enterprise licensing, please contact us to discuss appropriate arrangements.

License Non-Transferability

Your license is personal to you and cannot be sold, transferred, assigned, or given to another person. The license is permanently associated with the email address used at purchase. If you need to change the email address associated with your license, you may request a one-time transfer by contacting our support team with verification of identity.

Prohibited Uses

The following uses of Remindr are prohibited under any license type: reverse engineering, decompiling, or disassembling the software except as expressly permitted by law; removing or altering any proprietary notices or labels; using the software for any unlawful purpose or in violation of any applicable laws; using the software to record conversations without proper consent from all parties as required by applicable law; sharing, sublicensing, or distributing the software to unauthorized users; using the software in any manner that could damage, disable, overburden, or impair our servers or networks.

Your Early Adopter license includes all future updates and upgrades at no additional cost. This includes minor updates (bug fixes, performance improvements, security patches), major updates (new features, interface improvements, enhanced capabilities), and version upgrades (Remindr 2.0, 3.0, and beyond). You will never be asked to pay for an upgrade or new version.

Updates will be delivered through our automatic update system integrated into the application. You will be notified when updates are available and can choose to install them at your convenience. We recommend keeping Remindr updated to benefit from the latest improvements and security patches. Critical security updates may be installed automatically in the future, with advance notice when possible.

Our development roadmap includes numerous exciting features that Early Adopters will receive as they become available: Windows and Linux versions (when released), iOS and Android companion apps (when released), team collaboration features, advanced AI capabilities, additional language support, and many other innovations. As an Early Adopter, you will receive all of these features as part of your existing license.

We may occasionally sunset (discontinue) specific features that are no longer viable or used. Before sunsetting any feature, we will provide at least 90 days notice and, where applicable, provide migration paths to alternative solutions. Feature sunsetting will not affect your core access to Remindr or invalidate your license.

We want you to be completely satisfied with your Early Adopter purchase. To that end, we offer a comprehensive 30-day money-back guarantee starting from the official launch date of Remindr. If, after using Remindr following its launch, you determine that it does not meet your needs, you may request a full refund of your purchase price within 30 days of the launch date.

To request a refund, contact our support team at hello@remindrai.com with your purchase details. We may ask for brief feedback about your experience to help us improve, but providing feedback is not a condition of receiving your refund. Refunds will be processed to the original payment method within 10 business days of approval.

Please note that the 30-day period begins on the official launch date, not on the date of your purchase. This ensures that you have the opportunity to actually use the product before the guarantee period begins. If the launch is delayed, the refund guarantee period adjusts accordingly.

Refund requests made after the 30-day guarantee period may be considered on a case-by-case basis but are not guaranteed. Refunds will not be provided for violations of these Terms or for misuse of the software.

Refunds are separate from the rights granted under the Project Continuity Guarantee. If you receive a refund, you forfeit your Early Adopter status and license. If you prefer to wait for the source code release under the Project Continuity Guarantee, you should not request a refund.

Privacy is foundational to Remindr. Our entire product is built on the principle that your data belongs to you and should remain under your control. Remindr is designed as a local-first application, meaning that by default, your audio recordings, transcripts, and memories are stored only on your device and never transmitted to our servers.

We collect minimal information necessary to provide and improve our services. This includes: your email address (for license management and communication), basic license usage data (to verify license validity), and anonymous, aggregated usage statistics (to understand how the product is used and prioritize development). We do not collect, access, or analyze your audio recordings, transcripts, memories, or any content you create with Remindr.

If you choose to use our optional cloud sync feature, your data is end-to-end encrypted before leaving your device. This means that even when stored on our servers, your data cannot be read by us or anyone else without your encryption key. Only you can decrypt your data. We use AES-256 encryption, the same standard used by financial institutions and governments.

Our Privacy Policy is designed to comply with applicable privacy regulations including GDPR, LGPD, and CCPA. You have the right to access, correct, or delete your personal information at any time by contacting us.

We take security seriously and employ industry-standard security measures to protect our systems and your data. This includes regular security audits, encrypted communications, secure authentication, and employee training. We will promptly notify affected users in the event of any security breach that may impact their data.

As an Early Adopter, you are entitled to priority support from our team. Support is available via email at hello@remindrai.com and through our community channels. We aim to respond to all Early Adopter inquiries within 24 hours on business days (Monday through Friday, excluding major holidays). Complex issues may require additional time for investigation and resolution.

You will receive access to our exclusive Early Adopter community upon purchase confirmation. This community is a private space for Early Adopters to connect with each other and with our team. Here you can share experiences, request features, report issues, and participate in discussions about the future of Remindr. The community is moderated to ensure a respectful and constructive environment.

We may communicate with you periodically via email regarding: important updates about your license and the Early Adopter program, product updates and new feature announcements, beta testing invitations, community news and events, and other information relevant to your Early Adopter status. You can manage your email preferences at any time, though certain transactional and legal communications cannot be opted out of.

We encourage Early Adopter feedback and take it seriously in our product development process. If you have suggestions, encounter bugs, or want to share your experience, please reach out. Your insights directly influence our roadmap and priorities.

Remindr, including all software, documentation, graphics, logos, and other materials, is protected by copyright, trademark, and other intellectual property laws. The Remindr name, logo, and associated branding are trademarks of the Company. Your license grants you the right to use the software but does not transfer any ownership of intellectual property.

Content you create with Remindr—your recordings, transcripts, memories, and any other user-generated content—remains entirely yours. We claim no ownership or rights over your content. Your content is private to you and accessible only by you (unless you explicitly share it).

You grant us no license to use your content except as necessary to provide the services you request (for example, if you use cloud sync, we need to process your encrypted data to store and synchronize it, though we cannot read its contents). We will never use your content for advertising, marketing, AI training, or any purpose other than providing the service to you.

Remindr enables you to record audio from your microphone and system audio. It is your sole responsibility to ensure that your use of Remindr complies with all applicable laws and regulations, including laws regarding recording consent. Many jurisdictions require consent from all parties to a conversation before recording. Failure to obtain proper consent may result in civil or criminal liability.

We strongly recommend that you: understand the recording consent laws in your jurisdiction, obtain consent from all parties before recording any conversation, clearly inform participants when recording is in progress, and use Remindr only for lawful purposes. Remindr provides tools to help you comply with consent requirements, but the ultimate responsibility lies with you.

You agree to indemnify and hold harmless the Company from any claims, damages, or liabilities arising from your failure to obtain proper consent for recordings or your violation of any applicable laws.

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the application or by email at least 30 days before the changes take effect. Material changes include anything that could adversely affect your rights or increase your obligations under these Terms.

Non-material changes, such as clarifications or corrections that do not affect your rights, may be made at any time without notice. The 'Last Updated' date at the top of these Terms indicates when the most recent changes were made.

Your continued use of Remindr after the effective date of any changes constitutes your acceptance of the new Terms. If you do not agree with the changes, you may request a refund within 30 days of the change notice (subject to the Project Continuity Guarantee provisions), after which you should discontinue use of the software.

Notwithstanding the above, we will not modify these Terms in ways that materially diminish the benefits promised to Early Adopters or that would retroactively remove rights you have already been granted under these Terms.

These Terms shall be governed by and construed in accordance with the laws of Brazil, without regard to its conflict of law provisions. This choice of law applies regardless of your location.

Any dispute arising from or relating to these Terms or your use of Remindr shall first be attempted to be resolved through good-faith negotiation. If we cannot resolve a dispute informally, you agree that any judicial proceedings shall be brought in the courts located in São Paulo, Brazil, and you consent to the personal jurisdiction of such courts.

You agree to bring any claims arising under these Terms only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. You waive any right to participate in a class action against the Company.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

These Terms, together with the Privacy Policy and any other documents incorporated by reference, constitute the entire agreement between you and the Company regarding Remindr and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by an authorized representative of the Company.

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.

These Terms are written in English. If these Terms are translated into any other language, the English language version shall control in the event of any conflict.
