Please read these Early Adopter Program Terms and Conditions ("Terms", "Agreement") carefully before participating in the Remindr Early Adopter Program. By purchasing an Early Adopter license, you acknowledge that you have read, understood, and agree to be bound by all of the terms and conditions set forth below. These Terms constitute a legally binding agreement between you ("Early Adopter", "Supporter", "you", "your") and Remindr ("Company", "we", "us", "our"). If you do not agree with any part of these Terms, you must not purchase an Early Adopter license or participate in the program.

1. Overview and Purpose of the Early Adopter Program

The Remindr Early Adopter Program is a unique opportunity for individuals who believe in our vision of privacy-focused augmented memory to support the development and launch of Remindr. This program has been designed specifically for early believers, technology enthusiasts, and privacy advocates who wish to contribute to bringing Remindr to life while securing exclusive lifetime benefits in return.

By participating in this program, you become more than just a customer—you become a foundational supporter of Remindr. Your contribution directly funds the continued development, refinement, and eventual launch of our application. We have created this program because building high-quality, privacy-focused software requires significant resources, time, and expertise. Traditional venture capital funding often comes with strings attached that compromise user privacy and product integrity. By offering this Early Adopter program, we can maintain our independence and stay true to our core values of privacy, security, and user-centric design.

The Early Adopter Program is strictly limited to 2,000 participants worldwide. Once all 2,000 spots are claimed, this offer will permanently close and will never be available again at this pricing tier.

While we have made significant progress and are confident in our ability to deliver, software development inherently involves uncertainties. By purchasing an Early Adopter license, you acknowledge and accept this reality, and you trust that we will do everything in our power to deliver an exceptional product.

Your contribution helps fund several critical aspects of our operation. First and foremost, it supports our development team—the engineers, designers, and product specialists who work tirelessly to build Remindr. Software development is a labor-intensive process, and having dedicated, talented team members is essential to delivering a high-quality product. Your support ensures that we can retain and compensate our team fairly while they work on bringing Remindr to life.

Additionally, your contribution helps cover infrastructure costs. Running a modern software application requires servers, databases, security systems, and various third-party services. While Remindr is designed to be primarily local-first, we still need infrastructure for distribution, updates, licensing verification, optional cloud features, and customer support systems. These costs, while not immediately visible to users, are substantial and ongoing.

Your Early Adopter purchase also funds research and development for future features. You receive a perpetual, non-expiring license to use Remindr on one Mac device. This is not a subscription—once you purchase, you own your license forever. There are no recurring fees, no annual renewals, and no surprise charges. Your license remains valid for as long as Remindr exists as a product, and even beyond, as detailed in our Project Continuity Guarantee.

All Current and Future Features

Your license includes complete access to every feature available in Remindr at launch, as well as every feature we develop and release in the future. This includes major version upgrades that would typically require additional payment. Whether we release Remindr 2.0, 3.0, or beyond, your license covers all updates. This commitment extends to advanced features that may carry additional costs for regular users, such as enhanced AI processing, advanced analytics, and premium integrations.

Priority Human Support

Early Adopters receive priority access to our support team. When you contact us with questions, issues, or feedback, your inquiries are flagged as priority and handled before general support requests. You will communicate directly with our team members—not chatbots or automated systems. We are committed to responding to Early Adopter support requests within 24 hours on business days, and we will work with you until your issue is fully resolved.

Early Access to Beta Features

Before new features are released to the general public, you will have the opportunity to test and provide feedback on them through our beta program. This exclusive access allows you to experience innovations first and directly influence their development. Your feedback as an Early Adopter carries significant weight in our product decisions, as you represent our most invested and engaged users.

Exclusive Early Adopter Badge and Recognition

Your commitment to Remindr will be visibly recognized within the application through an exclusive Early Adopter badge. This badge is a permanent mark of your status as one of our founding 2,000 supporters and cannot be obtained by any other means. You will always be recognized as a founding member of the Remindr community, no matter how large our user base grows.

Access to Private Community

You will receive exclusive access to our private Early Adopter community, where you can connect with fellow supporters, share use cases, provide feedback directly to our team, and participate in discussions that shape the future of Remindr. This community is a space for our most engaged users to collaborate and grow together.

Influence on Product Development

As an Early Adopter, your voice matters. We actively solicit feedback from our Early Adopter community and prioritize feature requests and improvements that align with their needs. You will have direct channels to share your ideas, report issues, and suggest enhancements. 4. Monthly Usage Allocations and Fair Use Policy

To ensure the sustainability of our service and fair access for all users, certain features of Remindr are subject to monthly usage allocations. As an Early Adopter, you receive significantly enhanced allocations compared to standard license holders. These allocations are designed to accommodate the needs of power users while ensuring that shared resources remain available for the entire community.

Audio Processing and Transcription

Your Early Adopter license includes generous monthly allocations for audio processing and transcription. For local processing (using your device's hardware), there are no monthly limits—you can transcribe as much audio as your hardware can handle. For cloud-based processing (which provides faster results and supports devices with limited computational resources), you receive 100 hours of audio processing per month. This allocation resets on the first day of each calendar month. If you exceed this limit, you can continue using local processing without restriction, or you may purchase additional cloud processing credits at a discounted Early Adopter rate.

AI-Powered Analysis and Insights

Remindr's AI features, including automatic summarization, action item extraction, and semantic search, utilize significant computational resources. Your Early Adopter license includes 500 AI analysis operations per month. Each memory processing session (including summary generation and action item extraction) counts as one operation. Semantic searches count as one operation per search. This allocation is designed to accommodate intensive daily use. If your usage consistently exceeds these limits, please contact us—we are happy to discuss custom solutions for power users.

Cloud Storage and Sync

If you choose to use our optional end-to-end encrypted cloud sync feature, your Early Adopter license includes 50 GB of cloud storage. This storage is for synchronized memories and associated data. Local storage on your device has no limits—you can store as many memories locally as your hardware permits. Additional cloud storage can be purchased if needed at preferential Early Adopter rates.

Fair Use Policy

All usage allocations are subject to our Fair Use Policy. This policy exists to prevent abuse that could degrade the experience for other users. Fair use means using Remindr for its intended purpose—personal productivity and memory augmentation. Examples of unfair use include: running automated scripts to consume processing resources, sharing account credentials with multiple users, using the service for commercial transcription services, or any other use that places extraordinary burden on our infrastructure. Violations of the Fair Use Policy may result in temporary throttling or, in extreme cases, license suspension after warning and opportunity to remedy.

Allocation Increases Over Time

We anticipate that as our infrastructure scales and becomes more efficient, we will be able to increase these allocations over time. Early Adopters will always receive the most generous allocations available, and any increases will be applied automatically to your account. We are committed to continuously improving the value proposition for our founding supporters.

5. Project Continuity Guarantee: Our Promise If Things Don't Go as Planned

We are deeply committed to the success of Remindr and are working diligently to build a sustainable, long-lasting product. However, we also recognize that software projects face inherent risks, and we believe in being completely transparent with our supporters about contingency plans. This section outlines our binding commitment to Early Adopters in the unlikely event that Remindr cannot continue as a commercial product.

Source Code Release Commitment

In the event that Remindr is discontinued as a commercial product for any reason (including but not limited to: insufficient funding, acquisition by a third party that does not wish to continue development, or any other circumstance that prevents continued operation), we make the following binding commitment: within 90 days of announcing the discontinuation, we will release the complete source code of the last stable version of Remindr to all verified Early Adopters under a permissive open-source license (specifically, the MIT License or a comparable license that permits free use, modification, and distribution).

What the Source Code Release Includes

The released source code will include: the complete Remindr desktop application (including all Rust and TypeScript code), the transcription engine integration, the diarization module, the AI analysis components (excluding any third-party API integrations that cannot be redistributed), the local database schema and management tools, build scripts and documentation necessary to compile and run the application, and any other components necessary for independent operation. This release will enable technically proficient users to continue using, modifying, and distributing Remindr indefinitely.

Model and Asset Distribution

In addition to the source code, we will provide Early Adopters with access to download and use the machine learning models that power Remindr's transcription and analysis features, to the extent that we have the legal right to distribute them. For models licensed from third parties, we will provide instructions for obtaining them through official channels. We will also release all non-licensed assets, including icons, documentation, and other materials created by our team.

Grace Period and Transition Support

If a discontinuation announcement is made, we commit to maintaining existing services for a minimum of 6 months following the announcement (or until the end of any prepaid service period, whichever is longer). During this grace period, we will provide detailed documentation and support to help Early Adopters transition to self-hosted or community-maintained versions of the software. We will actively support and encourage community efforts to continue the project.

Community Continuity

We will transfer ownership of community spaces (forums, chat channels, etc.) to elected community members to ensure continuity of the support network. We will also release our documentation, tutorials, and training materials under a Creative Commons license to ensure that knowledge about Remindr remains freely available.

Refund Option

In the event of discontinuation within the first 24 months of launch, Early Adopters who prefer a refund over the source code release will be entitled to a pro-rata refund based on the time elapsed since launch. For example, if discontinuation occurs 12 months after launch, you would be entitled to a 50% refund of your purchase price. This option exists in addition to, not instead of, the source code release—you can choose either the code or the refund, but not both.

Legal Binding Nature

This Project Continuity Guarantee is a legally binding commitment, not merely a statement of intent. It forms an essential part of the consideration for your Early Adopter purchase. We have structured our business to ensure that we can fulfill this commitment regardless of circumstances, including setting aside resources specifically for this contingency.

6. Pricing, Payment, and Financial Terms

Early Adopter Pricing

The Early Adopter license is priced at $99 USD. This is a one-time payment that provides lifetime access to Remindr as described in these Terms. There are no recurring fees, hidden charges, or future payments required to maintain your license. This represents a significant discount from the anticipated post-launch pricing of $228 USD (annual Pro subscription), representing savings of $129 or approximately 57%.

Payment Processing

All payments are processed securely through Stripe, a PCI-compliant payment processor. We do not store your credit card information on our servers. Stripe may offer various payment methods depending on your location, including credit cards, debit cards, and certain local payment methods. The transaction will appear on your statement as 'Remindr' or 'Remindr Early Adopter'.

Currency and Taxes

All prices are quoted in United States Dollars (USD). If you are paying from outside the United States, your payment provider will convert the amount to your local currency at their prevailing exchange rate. Depending on your jurisdiction, your purchase may be subject to Value Added Tax (VAT), Goods and Services Tax (GST), sales tax, or other applicable taxes. Any such taxes are your responsibility and may be collected at the time of purchase where we are legally required to do so.

Receipt and Invoice

Upon successful payment, you will receive an email confirmation containing your purchase receipt and license key. This email serves as your proof of purchase and should be retained for your records. If you require a formal invoice for business or tax purposes, please contact our support team with your purchase details and we will provide one within 5 business days.

Slot Reservation During Checkout

Due to the limited availability of Early Adopter licenses (2,000 total), your slot is temporarily reserved when you initiate the checkout process. This reservation is valid for 30 minutes. If payment is not completed within this timeframe, the slot will be released and made available to other prospective Early Adopters. This mechanism ensures fair access while preventing indefinite slot holding.

7. Launch Timeline and Access Schedule

Remindr is scheduled for official launch on April 4, 2026. This date represents our target based on current development progress and has been set with reasonable buffer time to account for potential delays. While we are making every effort to meet this date, software development timelines can be affected by unforeseen circumstances. We will communicate promptly if there are any changes to the expected launch date.

Upon successful purchase of your Early Adopter license, you will immediately receive an email containing your unique license key. This license key is your permanent credential for accessing Remindr. Keep it secure and do not share it with others, as the license is non-transferable and tied to your email address.

Prior to the official launch, Early Adopters may be invited to participate in private beta testing. Participation in the beta is optional but encouraged. Beta versions may contain bugs, incomplete features, or stability issues, and are provided for testing purposes only. Your feedback during the beta period is invaluable and will help us polish the product for launch.

On the launch date, you will receive an email with instructions for downloading and installing Remindr. The application will be available for download directly from our website. You will enter your license key during the initial setup to activate your Early Adopter benefits.

If for any reason the launch is delayed beyond 6 months from the originally scheduled date (i.e., beyond October 4, 2026), you will be entitled to request a full refund of your purchase price at any time until the product launches. This protection ensures that your commitment is not held indefinitely without delivery.

8. Comprehensive Lifetime License Terms

Definition of Lifetime

Your 'lifetime license' means you retain the right to use Remindr for as long as the product is actively developed and maintained, plus the protections outlined in our Project Continuity Guarantee. In practical terms, we intend for Remindr to exist and evolve for many years to come. Your license does not expire after any set period—it remains valid indefinitely. If at some point in the distant future the software becomes incompatible with future operating systems (for example, due to radical changes in computing paradigms), the source code release provisions of the Project Continuity Guarantee would apply.

Device Limitations

Your Early Adopter license covers installation and use on one (1) Mac device at a time. This includes any Mac computer running a compatible version of macOS (currently macOS 12.3 or later). You may transfer your license to a different Mac device, for example when upgrading to a new computer, but the software should be uninstalled from the previous device. License verification occurs periodically, and using the same license on multiple devices simultaneously may result in temporary lockout until the violation is resolved.

Personal Use

The Early Adopter license is for personal, non-commercial use. You may use Remindr to capture, transcribe, and analyze your own meetings and conversations. You may not use Remindr to provide commercial transcription or analysis services to others. If you are interested in commercial or enterprise licensing, please contact us to discuss appropriate arrangements.

License Non-Transferability

Your license is personal to you and cannot be sold, transferred, assigned, or given to another person. The license is permanently associated with the email address used at purchase. If you need to change the email address associated with your license, you may request a one-time transfer by contacting our support team with verification of identity.

Prohibited Uses

The following uses of Remindr are prohibited under any license type: reverse engineering, decompiling, or disassembling the software except as expressly permitted by law; removing or altering any proprietary notices or labels; using the software for any unlawful purpose or in violation of any applicable laws; using the software to record conversations without proper consent from all parties as required by applicable law; sharing, sublicensing, or distributing the software to unauthorized users; using the software in any manner that could damage, disable, overburden, or impair our servers or networks.

9. Updates, Upgrades, and Future Features

Your Early Adopter license includes all future updates and upgrades at no additional cost. This includes minor updates (bug fixes, performance improvements, security patches), major updates (new features, interface improvements, enhanced capabilities), and version upgrades (Remindr 2.0, 3.0, and beyond). You will never be asked to pay for an upgrade or new version.

Updates will be delivered through our automatic update system integrated into the application. You will be notified when updates are available and can choose to install them at your convenience. We recommend keeping Remindr updated to benefit from the latest improvements and security patches. Critical security updates may be installed automatically in the future, with advance notice when possible.

Our development roadmap includes numerous exciting features that Early Adopters will receive as they become available: Windows and Linux versions (when released), iOS and Android companion apps (when released), team collaboration features, advanced AI capabilities, additional language support, and many other innovations. As an Early Adopter, you will receive all of these features as part of your existing license.

We may occasionally sunset (discontinue) specific features that are no longer viable or used. Before sunsetting any feature, we will provide at least 90 days notice and, where applicable, provide migration paths to alternative solutions. Feature sunsetting will not affect your core access to Remindr or invalidate your license.

10. Refund Policy and Money-Back Guarantee

We want you to be completely satisfied with your Early Adopter purchase. To that end, we offer a comprehensive 30-day money-back guarantee starting from the official launch date of Remindr. If, after using Remindr following its launch, you determine that it does not meet your needs, you may request a full refund of your purchase price within 30 days of the launch date.

To request a refund, contact our support team at hello@remindrai.com with your purchase details. We may ask for brief feedback about your experience to help us improve, but providing feedback is not a condition of receiving your refund. Refunds will be processed to the original payment method within 10 business days of approval.

Please note that the 30-day period begins on the official launch date, not on the date of your purchase. This ensures that you have the opportunity to actually use the product before the guarantee period begins. If the launch is delayed, the refund guarantee period adjusts accordingly.

Refund requests made after the 30-day guarantee period may be considered on a case-by-case basis but are not guaranteed. Refunds will not be provided for violations of these Terms or for misuse of the software.

Refunds are separate from the rights granted under the Project Continuity Guarantee. If you receive a refund, you forfeit your Early Adopter status and license. If you prefer to wait for the source code release under the Project Continuity Guarantee, you should not request a refund.

11. Privacy, Data Protection, and Security

Privacy is foundational to Remindr. Our entire product is built on the principle that your data belongs to you and should remain under your control. Remindr is designed as a local-first application, meaning that by default, your audio recordings, transcripts, and memories are stored only on your device and never transmitted to our servers.

We collect minimal information necessary to provide and improve our services. This includes: your email address (for license management and communication), basic license usage data (to verify license validity), and anonymous, aggregated usage statistics (to understand how the product is used and prioritize development). We do not collect, access, or analyze your audio recordings, transcripts, memories, or any content you create with Remindr.

If you choose to use our optional cloud sync feature, your data is end-to-end encrypted before leaving your device. This means that even when stored on our servers, your data cannot be read by us or anyone else without your encryption key. Only you can decrypt your data. We use AES-256 encryption, the same standard used by financial institutions and governments.

Our Privacy Policy is designed to comply with applicable privacy regulations including GDPR, LGPD, and CCPA. You have the right to access, correct, or delete your personal information at any time by contacting us.

We take security seriously and employ industry-standard security measures to protect our systems and your data. This includes regular security audits, encrypted communications, secure authentication, and employee training. We will promptly notify affected users in the event of any security breach that may impact their data.

12. Support, Community, and Communication

As an Early Adopter, you are entitled to priority support from our team. Support is available via email at hello@remindrai.com and through our community channels. We aim to respond to all Early Adopter inquiries within 24 hours on business days (Monday through Friday, excluding major holidays). Complex issues may require additional time for investigation and resolution.

You will receive access to our exclusive Early Adopter community upon purchase confirmation. This community is a private space for Early Adopters to connect with each other and with our team. Here you can share experiences, request features, report issues, and participate in discussions about the future of Remindr. The community is moderated to ensure a respectful and constructive environment.

We may communicate with you periodically via email regarding: important updates about your license and the Early Adopter program, product updates and new feature announcements, beta testing invitations, community news and events, and other information relevant to your Early Adopter status. You can manage your email preferences at any time, though certain transactional and legal communications cannot be opted out of.

We encourage Early Adopter feedback and take it seriously in our product development process. If you have suggestions, encounter bugs, or want to share your experience, please reach out. Your insights directly influence our roadmap and priorities.

13. Intellectual Property Rights

Remindr, including all software, documentation, graphics, logos, and other materials, is protected by copyright, trademark, and other intellectual property laws. The Remindr name, logo, and associated branding are trademarks of the Company. Your license grants you the right to use the software but does not transfer any ownership of intellectual property.

Content you create with Remindr—your recordings, transcripts, memories, and any other user-generated content—remains entirely yours. We claim no ownership or rights over your content. Your content is private to you and accessible only by you (unless you explicitly share it).

You grant us no license to use your content except as necessary to provide the services you request (for example, if you use cloud sync, we need to process your encrypted data to store and synchronize it, though we cannot read its contents). We will never use your content for advertising, marketing, AI training, or any purpose other than providing the service to you.

14. Disclaimers and Limitations of Liability

REMINDR IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE REMINDR.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF REMINDR SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR EARLY ADOPTER LICENSE. This limitation of liability applies regardless of the legal theory on which your claim is based and even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. If you are located in such a jurisdiction, some or all of the above limitations may not apply to you, and you may have additional legal rights.

15. Legal Compliance and Recording Consent

Remindr enables you to record audio from your microphone and system audio. It is your sole responsibility to ensure that your use of Remindr complies with all applicable laws and regulations, including laws regarding recording consent. Many jurisdictions require consent from all parties to a conversation before recording. Failure to obtain proper consent may result in civil or criminal liability.

We strongly recommend that you: understand the recording consent laws in your jurisdiction, obtain consent from all parties before recording any conversation, clearly inform participants when recording is in progress, and use Remindr only for lawful purposes. Remindr provides tools to help you comply with consent requirements, but the ultimate responsibility lies with you.

You agree to indemnify and hold harmless the Company from any claims, damages, or liabilities arising from your failure to obtain proper consent for recordings or your violation of any applicable laws.

16. Modifications to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the application or by email at least 30 days before the changes take effect. Material changes include anything that could adversely affect your rights or increase your obligations under these Terms.

Non-material changes, such as clarifications or corrections that do not affect your rights, may be made at any time without notice. The 'Last Updated' date at the top of these Terms indicates when the most recent changes were made.

Your continued use of Remindr after the effective date of any changes constitutes your acceptance of the new Terms. If you do not agree with the changes, you may request a refund within 30 days of the change notice (subject to the Project Continuity Guarantee provisions), after which you should discontinue use of the software.

Notwithstanding the above, we will not modify these Terms in ways that materially diminish the benefits promised to Early Adopters or that would retroactively remove rights you have already been granted under these Terms.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Brazil, without regard to its conflict of law provisions. This choice of law applies regardless of your location.

Any dispute arising from or relating to these Terms or your use of Remindr shall first be attempted to be resolved through good-faith negotiation. You agree to bring any claims arising under these Terms only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. You waive any right to participate in a class action against the Company.

18. General Provisions

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

These Terms, together with the Privacy Policy and any other documents incorporated by reference, constitute the entire agreement between you and the Company regarding Remindr and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by an authorized representative of the Company.

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.

These Terms are written in English. If these Terms are translated into any other language, the English language version shall control in the event of any conflict.

By clicking 'I accept' or by purchasing an Early Adopter license, you acknowledge that you have read these Terms in their entirety, you understand and agree to be bound by all provisions contained herein, you are at least 18 years of age or the age of majority in your jurisdiction, you have the legal capacity to enter into this agreement, and your participation in the Early Adopter Program is voluntary and represents your genuine desire to support Remindr.

You also acknowledge that: Remindr is currently in development and the final product may differ from current descriptions, you are purchasing a license for future delivery and accept the associated risks, your contribution is primarily a means of supporting the project's development, and you have read and understood the Project Continuity Guarantee and find it acceptable.
